1. Agreement to Terms

Welcome to Miracle Digital (operating online via miracledigital.org).

These Terms of Service constitute a legally binding agreement between you (whether individually or on behalf of an entity) and REINIER CAMPOS MILAGROSA, doing business as Miracle Digital PH (registered for Advertising Services, N.E.C., providing digital marketing and creative services including social media management, content creation, video & graphic design, web development, ads management, and logo & branding design).

By accessing our website, purchasing service packages, or booking discovery calls, you agree that you have read, understood, and bound yourself to all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the site and our services.

2. Services & Scope of Work

Miracle Digital provides creative marketing, design, and digital development services as outlined across our website service pages. Specific project deliverables, timelines, revision limits, and custom milestones will be detailed in individual service proposals, package selections, or client agreements provided prior to project initiation.

Any requests made outside the agreed-upon package or proposal scope (including additional revisions, extra web pages, or out-of-scope asset creation) will be treated as Scope Creep and will require a separate quote or addendum before execution.

3. Payments, Billing & Refunds

• Payment Terms: Services purchased directly through our website or via custom invoices require full payment or an agreed upfront deposit before project onboarding or creative work commences.
• Third-Party Ad Spend: Fees paid to Miracle Digital for Ads Management cover strategy, creative production, and optimization only. Actual advertising budgets (payable directly to platforms like Meta, Google, or TikTok) are the sole financial responsibility of the client.
• Refund Policy: Due to the custom labor, time, and creative resources invested in delivering marketing and design assets, fees paid for completed work or active monthly retainers are non-refundable unless explicitly agreed upon in writing prior to service commencement.

4. Intellectual Property Rights

A. Client Ownership upon Full Payment

Upon receipt of full payment for completed projects, the final deliverables created specifically for the client (e.g., custom logos, finalized graphic designs, and video edits) become the property of the client.

B. Agency Rights & Portfolio Usage

Miracle Digital reserves the right to retain ownership of all unselected design concepts, preliminary sketches, and working source files. Unless a strict Non-Disclosure Agreement (NDA) is executed prior to starting a project, Miracle Digital reserves the right to display completed creative work in our online portfolio, case studies, and marketing materials.

5. Client Responsibilities & Content Approvals

To ensure timely delivery, clients are responsible for providing necessary brand assets, credentials, copy, and timely feedback during active project stages.

The client represents and warrants that all text, logos, photos, graphics, and trademarks provided to Miracle Digital for inclusion in designs or websites are owned by the client or that the client has secured appropriate copyright permissions. Miracle Digital is not liable for copyright infringement caused by client-supplied media.

6. Limitation of Liability

In no event shall REINIER CAMPOS MILAGROSA, Miracle Digital, or its agents be liable for any direct, indirect, incidental, consequential, or punitive damages—including lost profits, lost revenue, data loss, social media platform suspensions, or website downtime—arising out of your use of our services or website.

To the fullest extent permitted by applicable law, our total cumulative financial liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount actually paid by you to Miracle Digital for the specific service in question during the prior six (6) month period.

7. Third-Party Websites & Integrations

Our website and services may contain links to or integrate with third-party tools, plugins, hosting services, or ad networks (e.g., Meta, Google, Hostinger). Miracle Digital is not responsible for the performance, terms, privacy practices, or service disruptions of these external third-party platforms.

8. Governing Law & Dispute Resolution

These Terms of Service and any separate agreements shall be governed by and construed strictly in accordance with the laws of the Republic of the Philippines. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the proper courts of San Jose del Monte, Bulacan, Philippines.
